"Duix" software and related services refer to the products and services provided to you legally owned and operated by Nanjing Wanruyi Network Technology Co., Ltd. and its affiliates (hereinafter referred to as "us") with a client application named "Duix".
The "Duix" User Service Agreement (hereinafter referred to as the "User Agreement") is an agreement that you enter with us to download, install, register, login, use (hereinafter collectively "Use") "Duix" software and obtain the relevant services provided by the "Duix" software.
Please (hereinafter referred to as "user") when using the "Duix" software and related services, or registration process carefully read the user agreement and all terms of this agreement, and confirm that you fully understand the user agreement and the provisions of this agreement, especially the terms of exempt or limit your liability, restrict your rights, dispute resolution, applicable law, etc. Restrictions, disclaimers, or other provisions concerning your significant rights and interests may be highlighted in bold, underlined, etc. If you have any questions about the User Agreement or this Agreement, please immediately stop using our "Duix" software and related services, or stop registering users.
If you do not have full capacity for civil conduct due to age, intelligence and other factors, please carefully read and fully understand the User Agreement and this Agreement accompanied by the legal guardian, and use the "Duix" software and related services with the consent of the legal guardian.
1. Acceptance and modification of the terms of service
1.1 This Agreement is an agreement entered into by the user to become a member of Nanjing Wanruyi Network Technology Co., Ltd. and its affiliates (hereinafter referred to as "Duix" or "us") and to use the membership services provided by Duix.
1.2 This Agreement describes the rights and obligations between Duix and the Member ("You" or "Member") with respect to the use of the Services and related aspects. This Service Agreement constitutes a prerequisite to your (whether individual or organization) use of the membership services provided by Duix and that you are not entitled to use the relevant services of this Agreement unless you accept all the terms of this Agreement. Your use behavior (including but not limited to click consent, make the next operation, payment behavior, etc.) will be deemed to agree to accept all the provisions of this Agreement, the User Agreement, the Privacy Policy, relevant sub-agreements, page instructions or standard procedures.
1.3 Duix has the right to change laws, regulations and policies and its own operational strategy, Parpartial or all modification of the terms of service (including but not limited to membership rules, fee standards, etc.), Upon changes and modifications to the terms of service, Duix will announce it on the relevant page; If you do not agree to any modification of this Agreement, Can cancel the acquired membership service and stop using it; If you continue to use the membership services provided by Duix (including but not limited to click agree, or continue to purchase, or complete the payment behavior, or continue to use the membership services, etc.), You shall be deemed to have accepted all amendments of this Agreement. The updated agreement shall take effect from the date of release. If you are a minor, please read and decide whether you will agree to this agreement under the supervision and guidance of your guardian.
1.4 Duix recommends that you carefully read all the contents of this Agreement, especially the terms presented in bold that are material to your interests (possibly) (including the relevant exemption from Duix liability, restricting your rights, agreed dispute resolution methods and jurisdiction, etc.). Please read them carefully. If you believe that the bold terms may damage some or all of your rights or interests, please read them carefully again and continue to use the Duix membership Services provided that you have understood and accepted the bold terms. If you do not agree to any or all of the terms of this Agreement, please do not confirm the payment or use the membership services to Duix). When you perform the next step in a confirmation form or use the Duix membership service, you have reached an agreement with Duix and you voluntarily accept this Agreement and comply with all provisions hereunder. Please carefully review the full content of this Agreement. You must fully and strictly comply with the terms of this Agreement when enjoying the Duix membership service.
2. Service instructions
2.1 Duix, the ownership of Duix products / services involved in membership services and the intellectual property of related software are owned by Duix. The services provided by Duix will be strictly implemented in accordance with its terms of service and operating rules. You understand and recognize that you only have the legal access to the services and products of the Duix member accounts, and that the ownership and intellectual property rights of these services and products are owned by Duix. Duix has the right to determine the duration of use and / or termination of the services, products and derivatives.
The data generated by the above services and products belong to Duix, but the relevant rules related to personal privacy are detailed in the User Agreement and the Privacy Policy.
Duix, grants you a personal, non-exclusive, non-transferable, revocable, time-expired license to serve your Duix members.
2.2 Duix Member Service Agreement is a supplementary agreement to User Agreement and Privacy Policy, which is an integral part and has the same legal effect; Members shall be subject by this Agreement, User Agreement and Privacy Policy. Matters not covered herein shall be subject to the provisions stipulated in the User Agreement and the Privacy Policy. In case of any conflict between this Agreement and the aforementioned agreement, this Agreement shall prevail.
2.3 You shall be fully responsible for all your actions (whether intentional or not) in using the services provided by Duix. Duix has the right to supervise, prompt and inspect all activities of members on the service platform provided by Duix and its affiliates. If your actions violate relevant laws and regulations or the terms of this Agreement, Duix has the right to require you to correct and hold you accountable.
2.4 When you use each individual service of Duix, your use behavior is regarded as its consent to the terms of service and to issue various announcements, page instructions or specification processes in the individual service.
2.5 You clearly understand and agree that Duix shall not be responsible for any problems arising from your communication connection, network security and services in the process of payment transaction. If you cause the corresponding economic losses, you should bear the consequences of investigating the tort liability and the liability to the infringing party. No transfer or unsubscription after payment.
2.6 We and the Duix service website will be exempted from liability for the leakage, loss, theft or tampering of user data due to any of the reasons listed below:
2.6.1 Any force majeure reasons affecting the normal network browsing, such as the temporary shutdown caused by the government control;
2.6.2 Any cause of computer system problems, hacking attacks, computer virus intrusion or attack.
2.7 You shall be responsible for properly and correctly keeping, using and maintaining the account, account information and account password obtained by your Duix application. You should take necessary and effective measures to keep your account information and password. Duix shall not be liable for any information related to the leakage of your account password and the loss due to your improper storage, use and maintenance. When you log in Duix website or Duix platform use QQ / WeChat / weibo / mobile account information lost, forget the password, unable to log in Duix website or Duix platform, if you need to find, need to in accordance with the official Duix official account recovery process requirements to provide the corresponding information and proof, and ensure that the information and supporting documents provided legal and effective. If the materials provided by you are not true or do not meet the requirements and cannot pass the security verification of Duix, it may fail the account recovery, and the corresponding risks and losses will be borne by you.
At the same time, you understand that it takes reasonable time for Duix to take action and process your request, and that Duix is not liable for your loss except for the statutory fault of Duix.
2.8 Duix shall not be liable for any loss caused by the actions or omissions of a third party, including but not limited to payment services and network access services, infringement of any third party or other violations.
2.9 If you click on other relevant cooperation links on the Duix website, Duix APP or Duix platform, you will jump to the third party page to provide services for you. Such services are provided and responsible by third parties, not the membership services provided by Duix. Duix hereby intends to remind you that a third party will provide you with services and charge service fees (if any) according to its platform rules (including membership rules, if any).
2.10 In order to improve the user experience, ensure the security of services and the consistency of product functions, we may update the software we provide. In order for you to use the services we provide normally, you should update the software to the latest version, otherwise we do not guarantee that it can be used normally. At the same time in the published update time of our software may appear certain use restrictions (including but not limited to card, unable to save video, has input information loss, etc.), Duix is not the normal update time user restrictions encountered responsibility, Duix kindly remind you not to make any use or operation during the software update time.
2.11 Duix shall not be held responsible for any personal or financial loss, damage or injury to you while using the services provided by Duix, regardless of the cause.
3. Procedures for becoming a member
3.1 Before becoming a Duix member, you must first register as a Duix user based on true, accurate information. The contents and personal information you fill in must be true and valid, otherwise Duix has the right to refuse your application or revoke your membership and make no compensation or refund of the membership service fee. If your member information and data changes, you should modify it in time. You can become a Duix member by paying the membership service fee or through other Duix approved channels. When you complete all the programs to become Duix, you can enjoy the Duix membership service by logging in to your Duix account.
3.2 After becoming a member, you have the right to choose not to continue to accept Duix's membership service. You can apply for self-discontinuation of the membership service, but this discontinuation behavior will not obtain the refund of the paid member service fee.
3.3 Ownership and relevant intellectual property rights of the related products and / or services are owned or authorized by Duix, and you only have the right to use the aforementioned products and / or services. However, the personal property rights and interests attributable to you under your account number obtained through legal channels are excluded.
3.4 Duix only provide related network services,  network services related equipment (such as personal computers, mobile phone, and other access to the Internet or mobile devices) and the required fees (such as access to the Internet telephone and Internet fees, mobile phone for mobile network) shall be borne by you.
4. Fee standard and unsubscription
4.1 Charging method
The Duix membership service is a fee-for-service service, and you can pay the membership fee through the Apple payment method actually supported by Duix. Please note that if you use your Apple account, there may be certain commercial risks if you pay through this payment method (such as criminals use your account for illegal activities), such risks may cause corresponding economic losses to you, and you should bear all the losses by yourself.
4.2 Fee refund
Member service is a network goods, adopt the way of charge before service, membership fee is your buy member service corresponding network commodity price, rather than advance payment or deposit, deposit, savings card, etc, member service once opened cannot transfer or refund (Unless you are completely unable to use the Member Services due to major defects, otherwise agreed in this Agreement, laws and regulations require a refund, or Duix agrees to refund).
Duix hereby reminds you that you should carefully check the account information, the purchased service content, the price, the service period and other information before purchasing the membership service (including the automatic renewal service).
4.3 Change of charging standard and method
The charging standard for membership services (including automatic renewal) shall be independently decided by Duix on the basis of operating costs and operating strategies, etc. (including but not limited to the different charging standards of different member levels, possible subsequent tariff adjustments, etc.) and presented to you on the relevant product and service publicity and payment page; with the charging method actually supported by Duix; if the price of relevant services is adjusted, the current effective price published on the Duix platform shall prevail. If you agree to continue your operation (including but not limited to click agree or continue to purchase or complete the payment, etc.), it will be deemed to mean that you know and agree to the changed charging method and fee standard.
5. Member services and virtual asset use rules
Users understand and agree that the registered accounts of Duix products are interlinked, but the Web end, product mobile terminal (including but not limited to APP, mini program) account records, some video data cannot transfer, migration, transfer, gift, sale, lease, sharing, whether the account is owned by the same user, please in login and / or prepaid phone / pay attention to distinguish between activities, to avoid losses. Duix will suspend or terminate measures such as the circumstances, and you shall bear the losses caused thereby. Duix has the right to make some changes and adjust its operation strategy according to the actual operation situation, and present it to you on the relevant product and service promotion and payment page. Duix's software and related services are provided by the current technology and conditions, and Duix will do its best to provide you to ensure continuity and security.
5.2 Once you become a member of Duix, you shall be deemed to recognize the price indicated by the service. The specific rights and interests shall be subject to the official APP display of Duix. The Duix membership service has a fixed term of life, and you have the right to use the Duix membership service within the term of the service purchased.
5.3 Members of the value-added service fee standard to Duix official APP on the detailed standards, Duix has the right to change the above standards based on its own business development, but Duix may be according to the actual operation of different stages has been activated and effective members to renew, upgrade of different charge standard, specific preferential policies to Duix in the announcement of the relevant service page. Any behavior of your use (including but not limited to click consent, next operation, payment, renewal, etc.) shall be deemed to have known and agreed to the fee standard.

5.4 Duix hereby reminds you that Duix will not refund you the fees you have paid and will not make any form of compensation / compensation, regardless of whether you have used the services purchased. At the same time, you understand and agree that Duix has the right to provide part or all of the additional content to users for free after a period of time according to the needs of its own operating policies.

5.5 Virtual assets (if any) shall not be convertible for cash or transfer, sale, replacement, mortgage, etc., Duix shall not provide operational modification or return for the virtual assets consumed by users; Duix shall not be liable for the products not caused by the fault of Duix.

5.6 The access, way, quantity, usage, validity period of virtual assets (if any) shall be subject to the announcement from time to time, actual display or explanation on the Duix platform.

5.7 Duix has the right to decide whether to stop the issuance and use of virtual assets due to its own development and operation. Duix will not refund or compensate the virtual assets obtained by users in non-cash form.
6. Membership service term and rights and interests
6.1 Since your successful purchase of Duix membership rights service, you will enjoy the corresponding service according to the effective duration of the purchased membership rights service package, and the agreed service will be automatically closed at the end of the purchase period. The specific date is subject to the valid record of the purchase and successful payment. This period will not be extended due to your lack of use, etc.
6.2 Please understand that the Membership term includes a reasonable amount of time required by Duix to resolve failures, server repairs, adjustments, upgrades, etc., or to deal with third-party infringements, and that Duix will not indemnify/compensate  in any way for the time or any loss (if any) caused by such circumstances, but DUIX will minimize the impact as much as possible.
6.3 Duix member rights, the specific content is subject to the description or actual provision of the "Member" page in Duix APP. If the name of the membership rights and interests hereunder is inconsistent with the description on the page, the content of the membership rights and interests that you actually enjoy shall not be affected. Please understand that Duix membership services are divided into different levels and types, and membership rights are differ between different membership levels and types. Duix may make some changes to the aforementioned membership interests in accordance with laws, regulations and policy changes, and its own operating strategy.
7. Rights and restrictions of members
7.1 During the duration of your membership, you may participate in activities organized by Duix and enjoy various benefits and value-added services provided by Duix.
7.2 Membership service is limited to the account you apply for; during the period of membership service, you cannot transfer the Duix account for gift, borrowing, lease, transfer or sale. Otherwise, Duix has the right to cancel the membership service qualification of your transfer account and transfer account without notice, and the resulting losses shall be borne by you.
7.3 If any of your actions violate this Agreement or relevant national laws, regulations or regulatory policies, or if Duix deems your actions to harm the reputation and interests of Duix or others, Duix Company has the right to cancel your membership without any compensation.
7.4 Members shall not obtain or purchase member services through illegal channels such as stealing or exploiting system vulnerabilities, or through illegal sales of Duix member websites without Duix authorization, or modify the service content, service term, consumption amount, transaction status and other information through technical means without explicit authorization of Duix. Otherwise Duix has the right to disqualify your membership from the service without returning any fees. Duix is not responsible for any problems and arising problems.
7.5 To protect the long-term interests of Duix and you and other users, Maintain the common development of Duix with you and other users, Standardize the production of Duix platform works, Eliminate all kinds of violations, The works you produce, publish and disseminate when using the Duix membership services must comply with national laws and regulations, Including but not limited to the constitution of the People's Republic of China the civil code of the People's Republic of China the criminal law of the People's Republic of China the advertising law of the People's Republic of China the patent law of the People's Republic of China the copyright law of the People's Republic of China the trademark law of the People's Republic of China and other national and local laws and regulations and other types of platform specification explanation and specification. In any case, Duix may terminate the membership service at any time, without prior notice, to the user for the necessity of maintaining network security and public order.

7.6 The same Duix member account can only be used on one mobile communication device at the same time. If it is used beyond the above scope, the account will be forced offline. If you use the Duix member account beyond the scope in violation of the foregoing provisions, you shall bear the adverse consequences, and Duix reserves the right to hold the above actors for legal liability.
8. Change of the agreement
8.1 Duix has the right to change part or all of the member service contents (including but not limited to membership rights rules, fee standards and fee methods) in accordance with changes in laws, regulations and policies, requirements of copyright owners and changes in its own operation strategy. Duix will be issued through the corresponding service page, site letter notice, or in any other reasonable manner, effective as of the date of release. After release, your continued actions (including but not limited to click agree, or continue to purchase, or complete the payment behavior, or use the membership service, etc.) shall be deemed to have accepted the aforementioned change. If you do not agree to the change of Duix, you shall have the right to cancel and stop using all or part of the corresponding services already obtained, but Duix will not refund any membership services; if you continue to use the above services provided by Duix, you will be deemed to have accepted the above adjustment of Duix.
8.2 You understand and agree that the software and related services provided by Duix are provided in accordance with the existing technology and conditions. Duix will do its best to provide you and ensure continuity and security. You understand that Duix cannot always anticipate and guard against technology and other risks, including but not limited to force majeure, viruses, Trojan horses, and hacking, system instability, third-party service defects, and other losses and other security problems.
9. Interruption and termination of services
9.1 If the membership service cannot continue due to Duix force majeure, government behavior or force majeure, Duix will notify you as soon as possible, but will not bear any loss caused to you and will not refund the membership service fee.
9.2 If you violate or are deemed to violate the contents of these Terms of Service, Duix has the right to immediately terminate all membership services you have purchased and cancel your Duix member account and use rights without refund of any membership service fees you have paid.
9.3 Duix's failure to exercise or delay in exercising its rights hereunder shall not constitute a waiver of these rights, and a single or partial exercise of any of its rights hereunder shall not exclude the exercise of any other rights. Duix has the right to require you to continue your obligations and be liable for breach of contract.
10. Disclaimer clause
10.1 You understand and agree that Duix's software and related services may be affected or disturbed by various factors, and we do not guarantee (including but not limited to) that:
10.1.1Duix Software and related services are fully suitable for the user's use requirements.
10.1.2Duix The software and related services are not disturbed, timely, safe, reliable or not erroneous; any software, service or other materials obtained by the user via Duix fully meet the expectations of the user.
10.1.3 Any errors in the software will be corrected.
10.2 Users understand and agree that in the process of using Duix APP and related services, they may encounter force majeure factors (unforeseeable, insurmountable and unavoidable objective events), including but not limited to government actions, natural disasters, network causes, hacker attacks, war or any other similar events. In case of force majeure, Duix will try to fix it, but due to the loss, the user agrees that Duix will not be liable to the user.
10.3 After you open your membership through the designated channel of Duix, you may vary in the specific services you can use due to the different software versions, equipment, operating system and other reasons that you use or other third-party reasons, which may bring inconvenience to you, and you understand and agree that Duix will not be exempted.
10.4Duix The right to deal with the illegal contents in accordance with this Agreement does not constitute the obligation or commitment of Duix, and Duix cannot guarantee the timely discovery of the illegal acts or deal with them accordingly.
10.5 You read, understand and agree that: in respect to the Services hereunder, Duix will not provide any guarantee or conditions of any kind, express or implied, including but not limited to commercial merchantability, applicability for specific use, etc. Your use of the Software and related Services must bear your own risks.
10.6 you read, understand and agree that this agreement is in guarantee comply with national laws and regulations, maintain public order, protect the legitimate rights and interests of others, Duix within the scope of ability to try their best judgment in accordance with the relevant laws and regulations, but does not guarantee that Duix judgment completely consistent with the judicial organs, administrative organs, such as the consequences users have understood and agreed to bear.
11. Notice
11.1 All user notices under this Agreement may be notified by one or more means, such as APP announcement, client push, public account notification, email reserved by the customer, mobile phone SMS or regular letter transmission, which shall be deemed to have been delivered to the user on the date of sending. If multiple forms of notice coexist, the time of service shall prevail at the earliest delivery of the above methods.
11.2 to facilitate you charge relevant notice, please make sure that the reserved contact for correct and effective, and timely login Duix APP after change, such as you did not provide the correct contact information or not to inform the new contact information, lead to timely charge notice, will be you to bear the resulting losses and legal consequences.
11.3Duix Some of these notices may be served to you by one or some of the above methods, and the contents of such notice may have a significant beneficial or adverse impact on you. Please ensure that your contact information is valid and please follow the corresponding notice.
12. Application and jurisdiction of laws
12.1 The signing place of this Agreement is Yuhuatai District, Nanjing, the People's Republic of China.
12.2 The validity, performance, interpretation and dispute settlement of the Terms of Service shall be governed by the mainland laws of the People's Republic of China. Any part of the Service terms is invalid due to their conflict with the current laws of the People's Republic of China and shall not affect the validity of other parts.
12.3 Any dispute arising from the content of this Agreement or the execution thereof shall be settled through friendly negotiation. If no agreement can be reached through negotiation, either party may apply to the court where the contract is signed (Nanjing Yuhuatai District People's Court) for jurisdiction.
